HoshinOnline, Inc. and its affiliates (“HoshinOnline” or the “Company”) is committed to protecting the privacy of individuals who visit HoshinOnline’s Websites (“Visitors”), individuals who register to use HoshinOnline’s Services as defined below (“Customers”), and individuals who register to attend HoshinOnline events (“Participants”). This Privacy Policy describes HoshinOnline’s privacy policies in relation to the use of its Websites and the related applications and services offered by HoshinOnline (the “Services”).

We encourage you to read this Privacy Policy carefully when using the HoshinOnline Websites, or when providing information to us through the HoshinOnline Websites. You understand that by using the HoshinOnline Website or HoshinOnline’s Services you are accepting its practices as described in this Privacy Policy.

1. Websites covered

This Privacy Policy covers the information practices of http://www.hoshinonline.com and any other websites that link to this Privacy Policy (collectively referred to as “HoshinOnline’s Websites”).

HoshinOnline’s Websites may contain links to other websites. The information practices or the content of such other websites is governed by the privacy policies of such other websites. HoshinOnline urges you to review the privacy policies of the other websites to understand their information policies and practices.

2. Information collected

When expressing an interest in obtaining additional information about the Services or registering to use the Services, HoshinOnline requires you to provide it with personal contact information, such as name, company name, address, phone number, and email address (“Contact Information”). When purchasing the Services, HoshinOnline may require you to provide the Company with financial qualification and billing information, such as billing name and address, credit card number, and the number of employees within the organization that will be using the Services (“Billing Information”). HoshinOnline may also ask you to provide additional information, such as number of employees, company size or industry (“Optional Information”). Contact Information, Billing Information, and Optional Information about Customers are referred to collectively as “Data About HoshinOnline Customers”, or in the case of Participants, “Data About HoshinOnline Participants”.

As you navigate the HoshinOnline Websites, HoshinOnline may also collect information through the use of commonly-used information-gathering tools, such as cookies and Web beacons (“Web Site Navigational Information”). Web Site Navigational Information includes standard information from your Web browser (such as browser type and browser language), your Internet Protocol (“IP”) address, and the actions you take on the HoshinOnline Websites (such as the Web pages viewed and the links clicked). 3. Use of information collected

HoshinOnline uses Data About HoshinOnline Customers to perform the services requested.

HoshinOnline may also uses Data About HoshinOnline Participants to plan and host corporate events, host online forums and social networks in which event Participants may participate, and to populate online profiles for Participants on the HoshinOnline Websites.

HoshinOnline may use credit card information you provide solely to check the financial qualifications and collect payment from prospective Customers and Participants.

HoshinOnline may also use Data About HoshinOnline Customers and Data About HoshinOnline Participants for marketing purposes. By way of example, HoshinOnline may use information you provide to contact you to further discuss your interest in the Services and to send you information regarding HoshinOnline, its affiliates, and its partners, such as information about promotions or events.

HoshinOnline uses Web Site Navigational Information to operate and improve HoshinOnline’s Websites. HoshinOnline may also use Web Site Navigational Information alone or in combination with Data About HoshinOnline Customers and Data About HoshinOnline Participants to provide personalized information about HoshinOnline. 4. Web Site Navigational Information

COOKIES, WEB BEACONS AND IP ADDRESSES

HoshinOnline uses commonly-used information-gathering tools, such as cookies and Web beacons, to collect information as you navigate HoshinOnline’s Websites (“Web Site Navigational Information”). This section describes the types of Web Site Navigational Information used on HoshinOnline’s Websites and how this information may be used.

COOKIES

HoshinOnline uses cookies to make interactions with HoshinOnline’s Websites easy and meaningful. When you visit one of HoshinOnline’s Websites, HoshinOnline’s servers may send a cookie to your computer. Standing alone, cookies do not personally identify you; they merely recognize your Web browser. Unless you choose to identify yourself to HoshinOnline, either by responding to a promotional offer, opening an account, or filling out a Web form, you remain anonymous to HoshinOnline.

HoshinOnline may use cookies that are session-based and persistent-based. Session cookies exist only during one session. They disappear from your computer when you close your browser software or turn off your computer. Persistent cookies remain on your computer after you close your browser or turn off your computer. Please note that if you disable your Web browser’s ability to accept cookies, you will be able to navigate HoshinOnline’s Websites, but you may not be able to successfully use the Services.

The following sets out how HoshinOnline may use different categories of cookies and your options for managing cookies’ settings:

IP ADDRESSES

When you visit HoshinOnline’s Websites, HoshinOnline may collect your Internet Protocol (“IP”) addresses to track and aggregate non-personal information. For example, HoshinOnline may use IP addresses to monitor the regions from which Customers and Visitors navigate HoshinOnline’s Websites.

WEB BEACONS

HoshinOnline may use Web beacons alone or in conjunction with cookies to compile information about Customers and Visitors’ usage of HoshinOnline’s Websites and interaction with emails from HoshinOnline. Web beacons are clear electronic images that can recognize certain types of information on your computer, such as cookies, when you viewed a particular Website tied to the Web beacon, and a description of a Website tied to the Web beacon. For example, HoshinOnline may place Web beacons in marketing emails that notify HoshinOnline when you click on a link in the email that directs you to one of HoshinOnline’s Websites. HoshinOnline may use Web beacons to operate and improve HoshinOnline’s Websites and email communications.

5. Public forums

HoshinOnline may provide forums, blogs or chat rooms on HoshinOnline’s Websites. Any personal information you choose to submit in such a forum may be read, collected, or used by others who visit these forums, and may be used to send you unsolicited messages. HoshinOnline is not responsible for the personal information you choose to submit in these forums.

6. Sharing of information collected

SERVICE PROVIDERS

HoshinOnline may share Data About HoshinOnline Customers and Data About HoshinOnline Participants with HoshinOnline’s contracted service providers so that these service providers can provide services on our behalf. HoshinOnline may also share Data About HoshinOnline Customers with HoshinOnline’s service providers to ensure the quality of information provided. Unless described in this Privacy Policy, HoshinOnline does not share, sell, rent, or trade any information with third parties for their promotional purposes.

BUSINESS PARTNERS

From time to time, HoshinOnline may partner with other companies to jointly offer products or services. If you purchase or specifically express interest in a jointly-offered product or service from HoshinOnline, HoshinOnline may share Data About HoshinOnline Customers collected in connection with your purchase or expression of interest with our joint promotion partner(s). HoshinOnline does not control our business partners’ use of the Data About HoshinOnline Customers we collect, and their use of the information will be in accordance with their own privacy policies. If you do not wish for your information to be shared in this manner, you may opt not to purchase or specifically express interest in a jointly offered product or service.

HoshinOnline does not share Data About HoshinOnline Participants with business partners unless you specifically opt in to such sharing via an event registration form. If you do not wish for your information to be shared in this manner, you may choose not to opt in via event registration forms. If you choose to share your information with business partners in the manner described above, your information will be subject to the business partners’ respective privacy policies.

BUSINESS TRANSFERS; BANKRUPTCY.

HoshinOnline reserves the right to transfer all Data About HoshinOnline Customers and Data About HoshinOnline Participants in its possession to a successor organization in the event of a merger, acquisition, or bankruptcy or other sale of all or a portion of HoshinOnline’s assets. Other than to the extent ordered by a bankruptcy or other court, the use and disclosure of all transferred information will be subject to this Privacy Policy, or to a new privacy policy if you are given notice of that new privacy policy and are given an opportunity to affirmatively opt-out of it.

LEGALLY REQUIRED DISCLOSURE

HoshinOnline reserves the right to use or disclose information provided if required by law or if HoshinOnline reasonably believes that use or disclosure is necessary to protect HoshinOnline’s rights and/or to comply with a judicial proceeding, court order, or legal process.

7. Communications preferences

HoshinOnline offers Visitors, Customers, and Participants who provide contact information a means to choose how HoshinOnline uses the information provided. You may manage your receipt of marketing and non-transactional communications by clicking on the “unsubscribe” link located on the bottom of HoshinOnline’s marketing emails, or by responding to the emails directly and requesting removal if such a link is not available. Additionally, you may send a request specifying your communications preferences to

. Customers cannot opt out of receiving transactional emails related to their account with HoshinOnline or the Services.

You may at any time review or change your Personally-Identifying Information by going to your account settings (if applicable) or contacting us using the contact information below. Upon your request, we will deactivate or delete your account and contact information from our active databases. Such information will be deactivated or deleted as soon as practicable based on your account activity and accordance with our deactivation policy and applicable law.

8. International transfer of information collected

To facilitate HoshinOnline’s global operations, HoshinOnline may transfer and access Data About HoshinOnline Customers and Data About HoshinOnline Participants from around the world, including the United States. This Privacy Policy shall apply even if HoshinOnline transfers Data About HoshinOnline Customers or Data About HoshinOnline Participants to other countries.

9. Customer Data

HoshinOnline Customers may electronically submit data or information to the Services for hosting and processing purposes (“Customer Data”). HoshinOnline will not review, share, distribute, or reference any such Customer Data except as provided in your Services Agreement (i.e. Terms of Service) for use of the Services, or as may be required by law. In accordance with the HoshinOnline Services Agreement, HoshinOnline may access Customer Data only for the purpose of providing the Services, preventing or addressing service or technical problems, at a Customer’s request in connection with customer support matters, or as may be required by law.

10. Changes to this Privacy Policy

HoshinOnline reserves the right to change this Privacy Policy by posting a new or modified Privacy Policy on the HoshinOnline Website. You understand that by continuing to use the HoshinOnline Website or HoshinOnline’s Services after such date, you are accepting the terms of such new or modified Privacy Policy.

11. Our Security Measures to Protect Information

To help protect the privacy of data and information you transmit through use of the HoshinOnline Website, we maintain commercially reasonable physical, technical and administrative safeguards. However, please be advised that even the best security measures cannot fully eliminate all risks. We cannot guarantee that only authorized persons will view your information. We are not responsible for third party circumvention of any privacy settings or security measures.

12. Children’s Privacy

The Children’s Online Privacy Protection Act (“COPPA”) protects the online privacy of children under 13 years of age. We do not knowingly collect or maintain personal information from anyone under the age of 13, unless or except as permitted by law. Any person who provides personal information through the HoshinOnline Website represents to us that he or she is 13 years of age or older. If we learn that personal information has been collected from a user under 13 years of age on or through the HoshinOnline Website, then we will take the appropriate steps to cause this information to be deleted. If you are the parent or legal guardian of a child under 13 who has otherwise transferred personal information to the HoshinOnline Website, please contact HoshinOnline using our contact information below to have that child’s account terminated and information deleted.

13. California Privacy Rights

California Civil Code Section 1798.83, also known as the “Shine The Light” law, permits our users who are California residents to request and obtain from us once a year, free of charge, information about the personal information (if any) we disclosed to third parties for direct marketing purposes in the preceding calendar year. If applicable, this information would include a list of the categories of personal information that was shared and the names and addresses of all third parties with which we shared information in the immediately preceding calendar year.
